Terms and Conditions for the Generative AI HackFest by Wizeline

 

BY PARTICIPATING IN THE WIZELINE GENERATIVE AI HACKFEST (THE “HACKFEST” OR THE “EVENT”), YOU (THE “PARTICIPANT” OR “YOU” OR “TEAM”) ACKNOWLEDGE AND AGREE TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS. THE HACKFEST IS VOID WHERE PROHIBITED BY LAW. NO PURCHASE IS NECESSARY TO ENTER OR WIN, AND PURCHASING OR PAYING FOR ANYTHING WILL NOT INCREASE YOUR CHANCES OF WINNING.

 

Event Overview:

The Hackfest will be held during the period described below, which may be subject to reasonable adjustments as deemed necessary by the Hosts: 

  1. Registration Period: Monday, March 25, 2024 – Sunday, April 14th, 2024
  2. Participation is limited. Wizeline shall confirm Participants by Monday, April 15th, 2024.
  3. Event Date: April 25th, 2024.

The Event is in-person and open to Teams of 4-5 participants interested in participating and creating a proof of concept aimed at solving a challenge in the area of financial services, investment, and/or banking, by using Generative AI services. Each Team will consist of one or two challengers, who may be employees, contractors, or agents of a company that is a potential, prospective, or current client of the Hosts and is invited to participate by the Hosts (the “Challenger(s)”). The Challenger(s) will present a challenge approved by the Hosts to their Team, which the Team members will collaboratively work to resolve. Challengers will be assigned a Team at random. The Event and all associated Submissions will be conducted exclusively in Spanish. The Event will take place at Wizeline’s offices in CDMX. 

Registration Requirements:

Each Participant must register online by completing the official registration form before the registration deadline at 11:59 PM CST on Sunday, April 14th, 2024. Challengers must register by completing the form available at https://www.wizeline.com/genai-hackfest-2024/ and all other participants must register by completing the form available at
https://www.eventbrite.com/e/aws-x-wizeline-generative-ai-hack-fest-tickets-819144301657. 

Participants must provide accurate and complete information during the registration process. 

Each Participant can only be part of one Team and each team must be comprised of 4-5 Participants. The Teams must develop a proof of concept that integrates and/or leverages generative AI to address a challenge in the banking, financial services, and/or investment sector (the “Submission”).

Eligibility: 

Each Team will consist of 1 – 2 Challengers and 3 – 4 additional participants from Wizeline and/or AWS. Individuals who are currently employed or serve as independent contractors for the Hosts at the time of the Event are eligible to participate in the Event. Only an employee or agent of a company that is a current, potential, or prospective client invited by the Hosts may serve as Challengers. Challengers will participate in the capacity described in Section 1 of these Terms and Conditions.

Participants must be able to attend the Event in person throughout its duration. Participants must make their own travel and accommodation arrangements and cover all associated costs and expenses. Each Participant must supply their own hardware to participate. New projects only. No pre-existing projects will be accepted.

The Event is not open to individuals who are residents of a country, state, province, or territory where the laws of the United States or local law prohibits participating or receiving a prize in the Hackfest or individuals included on the Specially Designated Nationals and Blocked Persons List, the OFAC Foreign Sanctions Evaders List, or those charged or convicted of violating the U.S. Patriotic Act or similar offenses Public officials and their immediate family members are not eligible to participate or receive a prize. By participating in the Event, You acknowledge that You are not a public official or an immediate family member of a public official and are willing to provide proof of this if requested.

The Hosts reserve the right to request evidence to verify the identity of the Participant.

Submission Requirements:

You agree, represent, and warrant that any Submission submitted to the Hosts at any time during the Event complies with the following requirements: 

  1. Your Submission must be your (or your Team’s) original work product and be solely owned by You or your Team;
  2. Your Submission must not violate any law or the intellectual property rights or other rights of the Hosts or a third party. Your Submission may include the use of open source software or hardware, provided the Submission complies with applicable open source licenses and, as part of the Submission, creates software that enhances and builds upon the features and functionality included in the underlying open source product;
  3. Your Submission must not violate the terms of use of any website, software, software license, mobile application, social media service, or any other platform used in connection with your Submission; and 
  4. Your Submission must not contain, depict or refer to any crude, vulgar, obscene, sexually explicit, disparaging, discriminatory, or otherwise offensive language or other content.

Submissions that do not meet the requirements set forth above will be disqualified. The Hosts may disqualify any Participant who violates any law, rule, statute, or other obligation set forth in these Terms and Conditions. 

Judging Criteria and Winning:

The winning Submission(s) will be determined based on evaluation criteria provided by the Hosts at the time of the Event. 

Prizes:

The Team with the winning Submission, as determined by the judges, will receive a prize to be disclosed on the day of the event. No cash or other substitution of prizes is permitted. The Hosts will not replace any lost or stolen prizes. The prize winners are solely responsible for any and all federal, state, provincial, and local taxes, that apply to the prizes. 

Event Changes and Cancellations:

The Hosts reserve the right to make changes to the Event schedule, location, or any other aspect if necessary. In the event of cancellation or changes, the Hosts will make reasonable efforts to inform You of such changes in a timely manner.

Name, Photography, and Recordings

We and third parties authorized by us may take pictures, videos, or audio recordings of the Hackfest, including of You (“Hackfest Recordings”). By attending the Hackfest, You agree to the following:

  1. The Hosts shall be the sole owner of the copyrights to the Hackfest Recordings.
  2. You give the Hosts permission to capture your image, voice, and likeness in the Hackfest Recordings, and we can use, copy, share, display, and publish your name and any Hackfest Recordings, either by ourselves or through an authorized third party, for any purpose, including advertising and promotion of Wizeline, or the Event, at any time.
  3. You agree to release the Hosts, and our respective authorized third parties from any liability, claims, or legal actions related to the creation or use of your name and/or the Hackfest Recordings, now or in the future.
  4. You agree to pay any attorneys’ fees and costs incurred by us or any third parties if You seek any legal action based on or relating to any consent, waiver, release, or other agreement you have given in this section.

Without our written permission, you cannot take, publish, or share photos, audio recordings, or video recordings of the Hackfest or its attendees for commercial purposes. However, this restriction does not apply if You want to use them personally or for your own internal business needs.

Intellectual Property:

By agreeing to these Terms and Conditions you agree that the intellectual property rights in any Submission(s) will be entirely owned by You and/or the members of the relevant Team. Participation in the Hackfest does not imply the assignment of any intellectual property rights in favor of Wizeline, or our respective affiliates. You guarantee that You hold the intellectual property rights over the contents and materials used in Your Submission. In the event that the Submission contains reused code (with open-source licenses) or third-party content, You must ensure that you have the appropriate license to use such content in the Submission. You will be responsible for any infringement of third-party rights in connection with Your Submission.

You agree and consent that Wizeline may develop methodologies, tools, models, software, documentation, know-how, trade secrets, inventions, or works of authorship, or any other form of intellectual property related to, similar to and/or inspired by Your Submission during or after the Hackfest without any fault or liability and You irrevocably waive any and all claims that You may now or hereafter have in any jurisdiction with respect to the foregoing use by Wizeline of your Submission, including the so-called “moral rights” or rights of droit moral.

Information collected from Participants is subject to Wizeline’s Privacy Policy, which is available at https://www.wizeline.com/privacy-policy/ 

By participating in the Event, You consent to Wizeline processing your personal data to organize, market, and administer the Event. Wizeline may share Your personal data with authorized third parties to manage the Event. 

Confidentiality:

You acknowledge and accept that your Submission and participation in the Event will not be treated as confidential information and may be shared with the public, including through publication on the internet. Wizeline does not undertake to maintain the confidentiality of any submission, prototype, or presentation made during the Event. 

You may visit Wizeline’s facilities for the Hackfest, and during such visits, Wizeline may disclose, or you may have access to, certain business or confidential information of Wizeline (“Confidential Information”). You agree: (i) to use reasonable measures to maintain the Confidential Information in strict confidence; (ii) not to disclose the Confidential Information to any third parties; and (iii) not to use the Confidential Information for any purpose except to participate in the Hackfest. These obligations will continue for three (3) years, except obligations with respect to Wizeline’s trade secrets will continue in perpetuity. This obligation will not apply to the extent any Confidential Information is now or thereafter becomes generally known or available to the public, through no act or omission by You. You may make disclosures of Confidential Information required by law, regulation, or court order if You:

  1. send the relevant Wizeline prompt written notice of the required disclosure, and
  2. cooperate, at Wizeline’s expense, to prevent or limit the disclosure.

Wizeline retains all right, title and interest to its Confidential Information. This section does not grant You any intellectual property rights or other rights of Wizeline, except the limited right to use Confidential Information to participate in the Hackfest. ALL CONFIDENTIAL INFORMATION IS PROVIDED BY WIZELINE “AS IS”. You acknowledge that the unauthorized use or disclosure of the Confidential Information would cause Wizeline to incur irreparable harm and significant damages, the degree of which may be difficult to ascertain. Accordingly, You agree that Wizeline will have the right to seek equitable relief in addition to any other rights and remedies that it may have at law or otherwise.

Release:

You release, indemnify, defend and hold harmless Wizeline, and our respective parent, subsidiary, and affiliated companies and any other organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Hackfest, and all of their respective past and present officers, directors, employees, agents and representatives (hereafter the “Released Parties”) from and against any and all claims, expenses, and liabilities (including reasonable attorneys’ fees), including but not limited to negligence and damages of any kind to persons and property, defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury arising out of or relating to a Participant’s entry, creation of a Submission or entry of a Submission, participation in the Hackfest, acceptance or use or misuse of the prize and/or the broadcast, transmission, performance, exploitation or use of the submission as authorized or licensed by these Terms and Conditions.

Disputes and Governing Law:

Any and all disputes and causes of action arising out of or connected with this Hackfest, or any prizes awarded, will be governed by the laws of Mexico. Any legal action or proceeding relating to the Event will be instituted in any state or federal courts of the City of Mexico. You and Wizeline agree to submit to the jurisdiction of, and agree that venue is proper in, the aforesaid courts in any such legal action or proceeding.

Limitation of Liability:

To the extent permitted by law, You hereby waive any and all rights to claim for any punitive, incidental or consequential damages, or any other damages, including attorneys’ fees.

Severability:

If any provision of these Terms and Conditions is held to be illegal, invalid, or unenforceable by any court or competent authority, such provision shall be modified to the extent necessary to make it enforceable while maintaining the intent of the original provision. Such modification shall not affect the validity or enforceability of the remaining provisions of these Terms and Conditions, which shall remain in full force and effect to the maximum extent permitted by law. Each paragraph and provision of these Terms and Conditions shall be considered independent of the others, and if any provision is held to be invalid or unenforceable, the other provisions shall remain in full force and effect.

Acceptance of Terms and Conditions:

By participating in the Event, participants acknowledge that they have read, understood, and agree to abide by these Terms and Conditions.
